Vendor Agreement & Terms

Effective Date: September 1, 2026

This Vendor Agreement ("Agreement") sets forth the terms and conditions governing your participation as a vendor at events organized or hosted by Home Town Collectibles LLC ("Home Town," "we," "us," or "our"). By reserving a vendor booth, submitting a booth inquiry, or vending at any Home Town event, you ("Vendor," "you," or "your") agree to be bound by this Agreement in its entirety.

1. Vendor Eligibility and Compliance

a. Business Licenses and Permits

You represent and warrant that you possess all licenses, permits, and registrations required by applicable federal, state, and local law to operate your business and sell merchandise, including but not limited to:

  • A valid Texas Sales and Use Tax Permit issued by the Texas Comptroller of Public Accounts
  • Any applicable city or county business licenses or permits required in the jurisdiction where the event is held
  • Any federal licenses required for your specific merchandise category

You must be prepared to present copies of all required permits and licenses upon request by Home Town staff at any time before, during, or after an event.

b. Tax Compliance

You are solely responsible for the collection, reporting, and remittance of all applicable sales taxes, use taxes, and any other taxes arising from your sales at Home Town events.

You represent and warrant that you will:

  • Collect and remit Texas sales tax (and any applicable local sales tax) on all taxable transactions conducted at Home Town events
  • Maintain accurate and complete records of all sales and tax collected at each event
  • File all required tax returns with the Texas Comptroller of Public Accounts and any other applicable taxing authority on time and in full
  • Comply with all applicable federal, state, and local tax laws and regulations

Home Town does not collect, report, or remit sales tax on behalf of vendors. Each vendor operates as an independent business and is solely responsible for its own tax obligations.

c. Insurance

You are strongly encouraged to maintain general commercial liability insurance with coverage of at least $1,000,000 per occurrence. Home Town may require proof of insurance as a condition of participation at certain events, at its sole discretion.

2. Booth Reservations and Fees

Booth reservations are subject to availability and confirmation by Home Town. Booth fees are due at the time of reservation and are processed through Stripe. Booth assignments, including table locations and quantities, are determined by Home Town and may be adjusted at our discretion.

Membership tier benefits (including early booking access and complimentary booths) are subject to the terms of the applicable membership plan and may change with notice.

Booth reservations are non-transferable without prior written approval from Home Town. Any unauthorized transfer or subletting of booth space is grounds for immediate removal from the event without refund.

Cancellations and Refunds

Your refund eligibility depends on how far in advance you cancel your booth, measured against the card show start date:

Cancel more than one (1) week before the start date.

Cancel from one (1) week up to 48 hours before the start date.

48 hours or less

0%No refund

Cancel within 48 hours of the start date, or fail to show.

In all cases, Home Town reserves the full right to resell any cancelled or vacated booth.

3. Vendor Conduct & Code of Conduct

While vending at any Home Town event, you agree to:

  • Conduct yourself and your staff in a professional and courteous manner at all times
  • Comply with all venue rules, fire codes, and safety regulations
  • Set up and break down your booth within the designated times communicated by Home Town
  • Remain at your booth and operational during all posted event hours unless you receive approval from Home Town to do otherwise
  • Sell only the product types disclosed in your vendor profile or booth inquiry
  • Refrain from selling counterfeit, stolen, prohibited, or illegal merchandise
  • Comply in full with the live streaming and broadcasting restrictions in Section 4
  • Keep your booth area clean and remove all trash and materials at the end of the event

To protect our vendors, customers, venue partners, and the overall Home Town Card Show experience, the following actions may result in the suspension of your vendor account and exclusion from future Home Town Card Show events:

  • No Call / No Show without prior communication
  • Chargebacks or payment disputes initiated without first contacting our team
  • Fraudulent or deceptive activity with customers
  • Threatening, abusive, discriminatory, or harassing behavior at the event
  • Live streaming or broadcasting a Home Town event in violation of Section 4

Our goal is to maintain a safe, trustworthy, and positive environment for everyone involved.

4. Live Streaming and Broadcasting

Live streaming and broadcasting of Home Town events is prohibited without prior written authorization from Home Town.

a. Prohibition

You may not live stream, broadcast, or otherwise transmit in real time any audio or video from a Home Town event, whether from your booth, the show floor, the aisles, or anywhere else on the event premises, without prior written authorization from Home Town. This restriction applies to you, your employees, your agents, and any guest, contractor, or content creator you bring to or credential for an event.

A live broadcast is public the moment it airs. Once it does, neither you nor Home Town nor the people on the floor can review, correct, or retract what was shown before third parties copy, clip, and redistribute it. That loss of control, rather than the act of filming, is what this Section is directed at.

b. Photography and Non-Broadcast Recording

This Section does not restrict ordinary photography or recording at Home Town events. You and your staff may photograph and record for your own business and personal purposes, subject to venue rules and applicable law, and footage you record and retain remains yours.

c. Content Derived From a Live Broadcast

You are fully responsible for the conduct of any person or entity that captures, clips, edits, republishes, or otherwise distributes content taken from a live broadcast originating from your presence at a Home Town event. This includes camera operators, moderators, editors, clip channels, affiliate accounts, and third-party creators, whether or not they are compensated by you and whether or not they were physically present at the event. Content those parties post from your broadcast is treated as content posted by you for all purposes under this Agreement.

d. Takedown Obligation

Upon written notice from Home Town that a broadcast, or content derived from a broadcast, identifies an attendee, customer, vendor, or Home Town staff member in connection with an accusation of theft, fraud, dishonesty, or other wrongdoing, or otherwise violates this Section, you must remove that content, and use best efforts to cause its removal from any downstream, clip, affiliate, or republishing account, within twenty-four (24) hours of the notice and across every platform on which it appears. Compliance with a takedown notice does not limit any other remedy available to Home Town under this Agreement.

e. Reporting Suspected Misconduct

If you believe you have witnessed theft or any other misconduct at a Home Town event, you must report it to Home Town staff or event security at the time it occurs. Suspected misconduct is handled by Home Town and, where appropriate, by law enforcement. It is not to be broadcast, narrated, or otherwise made public during an event.

f. Authorized Broadcasts

Home Town may grant written authorization for press coverage, a sponsored stream, or another broadcast at a specific event. Any such authorization is limited to that event and to the terms stated in it, may require that cameras be positioned so that they do not capture attendees, is conditioned on continued compliance with this Section, and may be revoked by Home Town at any time and for any reason, at which point the broadcast must end immediately.

g. Enforcement

Violation of this Section is grounds for immediate removal from the event without refund, revocation of any pending booth reservations, forfeiture of membership benefits without refund, and suspension or permanent ban from future Home Town events. Claims arising from a broadcast transmitted by you or your content team, or from content derived from it, including claims for defamation, invasion of privacy, or misappropriation of name or likeness, are subject to the indemnification provisions in Section 6.

5. Prohibited Merchandise

The following items may not be sold at Home Town events without prior written approval:

  • Counterfeit or replica cards, merchandise, or memorabilia
  • Stolen property
  • Weapons, ammunition, or explosives
  • Tobacco, vaping products, alcohol, or controlled substances
  • Pornographic or obscene material
  • Any item prohibited by federal, state, or local law

Home Town reserves the right to inspect vendor merchandise and to require the removal of any items at its sole discretion.

6. Indemnification

You agree to indemnify, defend, and hold harmless Home Town Collectibles LLC, its members, managers, officers, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your participation as a vendor at any Home Town event
  • Your sale of merchandise or provision of services at any Home Town event
  • Your breach of this Agreement or any representation or warranty contained herein
  • Your violation of any applicable federal, state, or local law, regulation, or ordinance
  • Any claim by a third party related to products you sold or services you provided
  • Any bodily injury or property damage caused by you, your employees, agents, or representatives
  • Any live broadcast transmitted by you, your employees, agents, or content team from a Home Town event, and any content derived from that broadcast, including claims for defamation, invasion of privacy, or misappropriation of name or likeness
  • Any tax liability, penalty, interest, or assessment arising from your failure to collect, report, or remit applicable taxes

7. Tax Indemnification

This section contains important tax liability provisions. Read it carefully.

In the event that the Texas Comptroller of Public Accounts, the Internal Revenue Service, or any other federal, state, or local taxing authority assesses, levies, or seeks to collect any tax, penalty, interest, or other amount against Home Town Collectibles LLC that is attributable to your sales, transactions, or business activities conducted at Home Town events, you agree to the following:

  • You will promptly pay, satisfy, and discharge the full amount of any such tax, penalty, interest, or assessment directly to the applicable taxing authority or reimburse Home Town in full within thirty (30) calendar days of written notice from Home Town.
  • You will cooperate fully with Home Town and the applicable taxing authority in resolving any such matter, including providing all records, documentation, and information reasonably requested.
  • You waive any right to contest, dispute, or litigate against Home Town any amount that is properly attributable to your tax obligations, and you agree that Home Town's determination of the amount attributable to your activities, supported by documentation from the taxing authority, shall be presumed correct.
  • You acknowledge that this obligation survives the termination of this Agreement, the conclusion of any event, and the expiration or cancellation of your vendor membership.

This tax indemnification is in addition to, and not in limitation of, the general indemnification provisions in Section 6 above.

8. Limitation of Liability

To the maximum extent permitted by law, Home Town Collectibles LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation as a vendor, including but not limited to lost profits, lost sales, damage to or theft of merchandise, or business interruption. Home Town's total liability to you shall not exceed the amount of booth fees paid by you for the specific event giving rise to the claim.

9. Independent Contractor Status

You are an independent contractor, not an employee, agent, partner, or joint venturer of Home Town Collectibles LLC. Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship. You are solely responsible for your own employees, agents, taxes, insurance, and business operations.

10. Termination and Removal

Home Town reserves the right to terminate your participation, revoke your booth reservation, or remove you from any event at any time, with or without cause, including but not limited to violations of this Agreement, disruptive behavior, sale of prohibited merchandise, or failure to comply with venue or safety rules. In the case of removal for cause, no refund of booth fees will be issued.

In addition, the following offenses are grounds for suspension or a permanent ban from future Home Town events:

  • Leaving your booth or breaking down more than one (1) hour before the scheduled conclusion of the show
  • Multiple booth cancellations over the course of a single calendar quarter
  • No Call / No Show without prior communication to Home Town
  • Selling or transferring your tables to a person not registered under your name
  • Live streaming or broadcasting an event without prior written authorization, or broadcasting content that accuses an attendee, vendor, or staff member of wrongdoing

11. Assumption of Risk

You acknowledge that participation as a vendor at events involves inherent risks, including but not limited to theft, property damage, personal injury, and financial loss. You voluntarily assume all such risks and release Home Town from any claims arising therefrom.

Home Town is not responsible or liable for the theft, loss, damage, or destruction of your merchandise, cash, equipment, or other property, whether caused by another vendor, an attendee, a third party, or any other cause outside our reasonable control. You are solely responsible for securing and supervising your own booth and property at all times.

While Home Town engages security personnel for its events, the presence of security does not guarantee against theft, loss, or injury and does not create any additional duty or liability on the part of Home Town beyond what is required by law.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Texas. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of such courts.

13. Entire Agreement and Modifications

This Agreement, together with the Terms of Service and any event-specific rules communicated by Home Town, constitutes the entire agreement between you and Home Town regarding your participation as a vendor. Home Town may modify this Agreement at any time by posting the updated terms on its website. Continued participation as a vendor after modifications are posted constitutes acceptance of the revised terms.

14. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

By reserving a vendor booth, submitting a booth inquiry, or vending at any Home Town event, you acknowledge that you have read, understood, and agree to be bound by this Vendor Agreement in its entirety.
